The Giant Schnauzer Club of America, Inc.: Website Agreement Giantschnauzerclubofamerica.com (the "Site") is an online information service provided by Giant Schnauzer Club of America, Inc., subject to your compliance with the terms and conditions set forth below. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE ACCESSING OR USING THE SITE. BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SITE. GIANT SCHNAUZER CLUB OF AMERICA, INC. MAY MODIFY THIS AGREEMENT AT ANY TIME, AND SUCH MODIFICATIONS SHALL BE EFFECTIVE IMMEDIATELY UPON POSTING OF THE MODIFIED AGREEMENT ON THE SITE. YOU AGREE TO REVIEW THE AGREEMENT PERIODICALLY TO BE AWARE OF SUCH MODIFICATIONS AND YOUR CONTINUED ACCESS OR USE OF THE SITE SHALL BE DEEMED YOUR CONCLUSIVE ACCEPTANCE OF THE MODIFIED AGREEMENT.

1. Copyright, Licenses and Idea Submissions.

The entire contents of the Site are protected by international copyright and trademark laws. The owner of the copyrights and trademarks are Giant Schnauzer Club of America, Inc., its affiliates or other third party licensors. YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SITE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE. You may print and download portions of material from the different areas of the Site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials.

You agree to grant to Giant Schnauzer Club of America, Inc. a non-exclusive, royalty-free, worldwide, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by e-mail to Giant Schnauzer Club of America, Inc. by all means and in any media now known or hereafter developed. EVEN IF GIANT SCHNAUZER CLUB OF AMERICA, INC. OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICE AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH THE SERVICE. Giant Schnauzer Club of America, Inc. makes no representations whatsoever about any other website which you may access through this one or which may link to this Site. When you access a non-Giant Schnauzer Club of America, Inc. website, please understand that it is independent from Giant Schnauzer Club of America, Inc., and that Giant Schnauzer Club of America, Inc. has no control over the content on that website. In addition, a link to a Giant Schnauzer Club of America, Inc. website does not mean that Giant Schnauzer Club of America, Inc. endorses or accepts any responsibility for the content, or the use, of such website.

3. Indemnification.

You agree to indemnify, defend and hold harmless Giant Schnauzer Club of America, Inc., its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the service from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the service.

4. Third Party Rights.

The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of Giant Schnauzer Club of America, Inc. and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

5.Term; Termination.

This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.

6.Guarantee.

Giant Schnauzer Club of America, Inc. makes no guarantee to the accuracy of the information provided at the Site.

7.Miscellaneous.

This Agreement shall all be governed and construed in accordance with the laws of the State of California applicable to agreements made and to be performed in California. You agree that any legal action or proceeding between Giant Schnauzer Club of America, Inc. and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in California. Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. Giant Schnauzer Club of America, Inc.'s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Giant Schnauzer Club of America, Inc. may assign its rights and duties under this Agreement to any party at any time without notice to you.

Any rights not expressly granted herein are reserved.

California law permits users/members that reside in California to request certain personally identifiable information not be shared with other users/members or to third parties for marketing purposes. If you are a California resident, have provided the GSCA with personally identifiable information and would not like certain or all personally identifiable information shared please contact webmaster@giantschnauzerclubofamerica.com

The term "personally identifiable information" means
individually identifiable information about an individual consumer
collected online by the operator from that individual and maintained
by the operator in an accessible form, including any of the
following:
   (1) A first and last name.
   (2) A home or other physical address, including street name and name of a city.
   (3) An e-mail address.
   (4) A telephone number.

9. Linking Policy.

The Giant Schnauzer Club of America, Inc. ("GSCA") grants nonexclusive, limited permission to website owners to develop a link ("Permitted Link") from the owner's website (the "Linking Site") to the GSCA website home page (www.giantschnauzerclubofamerica.com), subject to the following terms and conditions:

Permitted Links shall be

1.    text-based and may use the words " The Giant Schnauzer Club of America, Inc," "GSCA," or

2.    a link containing a graphic banner provided below on this page, No changes, additions or modifications shall be made to the graphic banner provided by GSCA.

"Framing" any page of the GSCA website or altering the presentation or appearance in any way of any page of GSCA's website is prohibited.

Nothing on the Linking Site shall imply, suggest or represent any affiliation, sponsorship, endorsement, approval, association or relationship between GSCA and the Linking Site.

Permitted Links shall not be used or associated with any defamatory, scandalous, inflammatory, profane, pornographic, obscene, indecent or unlawful website or material; shall not be used in or associated with any manner that disparages or adversely affects the name, reputation and goodwill of GSCA; shall not be used in or associated with any manner that falsely represents or misleads the public regarding GSCA; and shall not be used in or associated with any manner which infringes or violates the rights of a third party.

In no event shall GSCA be liable for any content on the Linking Site or for any loss or damage resulting from use of a Permitted Link. The Linking Site, by its use, agrees to indemnify, defend and hold harmless GSCA against all claims, actions or proceedings, including but not limited to expenses, costs and attorneys fees, arising out of or based on use of a Permitted Link and/or the Linking Site.

GSCA retains and reserves all rights in and to all GSCA proprietary material, including but not limited to trademarks, service marks, logos and other marks, and copyrights appearing on the website. Except for the permission granted hereunder, which is limited solely to the right to link, nothing from the GSCA website may be posted on a Linking Site or anywhere else without express written permission.

GSCA reserves the right to terminate permission granted hereunder at any time for any reason. Upon termination, all links to GSCA's website immediately shall be removed and all uses of GSCA's proprietary material shall immediately cease.

GSCA reserves the right to amend this Linking Policy at any time without prior notice. If GSCA changes its Linking Policy, we will post those changes on this page. By maintaining a link to any page of the GSCA website, you agree to be bound and abide by these terms and conditions, as well as other terms of use on the GSCA website.
